SB 1139  RELATING TO LIMITED LIABILITY COMPANIES.        CPN
        Amends the  Hawaii  Uniform  Liability  Company Act to
        conform with amendments  made  to  the Uniform Limited
        Liability Company Act (1995).

SB 1140  RELATING TO BUSINESS REGISTRATION.          CPN,WAM
        Simplifies and  facilitates  the business registration
        process by clarifying  the updating statutes governing
        business regulation.

SB 1141  RELATING TO THE CONVERSION OF BUSINESS      CPN,WAM
        ENTITIES.
        Allows corporations,  partnerships,  limited liability
        patnerships,  and   limited   liability  companies  to
        convert  into  any  other   form  of  business  entity
        provided by Hawaii law.

SB 1142  RELATING TO THE NAMES OF CORPORATIONS,      CPN,JDC
        PARTNERSHIPS, AND LIMITED LIABILITY COMPANIES.
        Gives  corporations,  partnerships,  limited liability
        partnerships,  and  limited  liability  companies  the
        ability to  seek  administrative  relief against other
        entities who have  registered  or  use  a name that is
        substantially  identical  or  confusingly  similar  to
        theirs.

SB 1143  RELATING TO CORPORATIONS.                       CPN
        Provides  shareholders  the  opportunity  to authorize
        another person to act as  a proxy for the sole purpose
        of  voting  shares,  and  to  provide  for  the  proxy
        authorization  to  be  in  writing  or  electronically
        transmitted to the person  who  will  be the holder of
        the proxy.

SB 1178  RELATING TO THE GENERAL EXCISE TAX OF RELATED  CPN,WAM
        ENTITIES.

 
                  Clarifies the  definition  of  "related  entities" for
                  purposes of the general excise tax.
       
       SB 775   RELATING TO ACTIVITY PROVIDERS AND ACTIVITY     CPN
                  DESKS.
                  Prohibits  activity  desks  from  receiving under-the-
                  table compensation  for  selling  a  specific activity
                  provider; requires activity desks to have both a trust
                  account and a bond.
       
       SB 947   RELATING TO TELEMARKETING FRAUD.            CPN,JDC
                  Creates a new chapter to regulate telemarketing fraud.
       
       SB 949   RELATING TO THE UNIFORM UNINCORPORATED      CPN,JDC
                  NONPROFIT ASSOCIATION.
                  Adopts  the  UUNA  Act.    Provides  that  a nonprofit
                  associaiton  is  a  legal  entity  separate  from  its
                  members for purposes of transferring real and personal
                  property, tort  and  contractual  liability, and legal
                  standing.
       
       SB 1512  RELATING TO THE UNIFORM PARTNERSHIP ACT.    CPN,WAM
                  Adopts  uniform  partnership  act.    Repeals  current
                  partnership law.
       
       
                  DECISION MAKING TO FOLLOW, IF TIME PERMITS.
       
       
       Persons wishing to  testify  should  submit 30 copies (three-hole
       punched) of their  testimony  to  the  committee clerk, Room 414,
       State Capitol, 24 hours prior  to the hearing. Testimony may also
       be faxed if less than 5  pages in length, to the Senate Sergeant-
       At-Arms Office  at  586-6659  or  1-800-586-6659  (toll  free for
       neighbor islands), at least 24 hours  prior to the hearing.  When
       faxing, please indicate to whom the testimony is being submitted,
       the date and time  of  the  hearing,  and  the required number of
       copies needed for submittal.
       
       If you require special  assistance  or auxiliary aids or services
       to participate in the public hearing process (i.e., sign language
       interpreter, wheelchair accessibility,  or parking designated for
       the disabled), please contact the  committee clerk 24 hours prior
       to the hearing so arrangements can be made.

       measures and testimonies for  the  hearing  will be available for
       shared use by members of the public.
